Terms of Service
Effective date: June 20, 2026 Version: 1.0 (the app records which version each user accepted; this is bumped on any material change)
These Terms of Service ("Terms") are a binding agreement between you ("you", "Customer") and 4K Labs Inc ("4K Labs", "we", "us"), governing your access to and use of the Ivy AI video-creation platform, including the websites at 4klabs.ai, app.4klabs.ai, learn.4klabs.ai, and related APIs and services (collectively, the "Service").
By clicking "I agree", creating an account, or using the Service, you accept these Terms and our Privacy Policy and Refund Policy. If you do not agree, do not use the Service.
1. Eligibility & accounts
1.1 You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. The Service is not directed to children. (Note: school/K-12 use of INX/learn is governed by a separate agreement with the institution — see §13.) 1.2 You are responsible for all activity under your account and for keeping your credentials secure. Notify us immediately of any unauthorized use at support@4klabs.ai. 1.3 You must provide accurate information and keep it current.
2. The Service & plans
2.1 Ivy lets you generate, edit, narrate, and export videos and related assets ("Output") using AI. 2.2 Access is offered on a free tier and on paid credit packs (the "Plans"), as described in-product. We may change features, Plans, and pricing prospectively; material changes will be notified. 2.3 Beta / AI features. Parts of the Service are experimental. AI-generated Output may be inaccurate, incomplete, or unexpected. You are responsible for reviewing Output before relying on or publishing it.
3. Credits & billing
3.1 Paid usage is metered in credits. One credit is consumed per chargeable unit as described in-product (e.g., per slide at first publish; interactive videos cost more). Editing already-charged work does not re-charge. 3.2 Credits are sold as one-time purchases processed by our payment processor, Stripe. You authorize us and Stripe to charge your selected payment method. 3.3 Credits are prepaid digital entitlements. Except as required by law or as stated in the Refund Policy, credit purchases are final and non-refundable. Credits do not expire. 3.4 You are responsible for all applicable taxes. Stated prices are exclusive of taxes unless noted. 3.5 Chargebacks initiated without first contacting us may result in suspension.
4. Bring-Your-Own-Key (BYOK)
4.1 Some functionality requires you to supply your own third-party AI provider API key (e.g., an Anthropic Claude key) ("Your Key"). 4.2 You are solely responsible for Your Key, for all charges your provider bills you for usage initiated through the Service, and for complying with that provider's terms. 4.3 We store Your Key encrypted at rest and use it only to perform operations you request. You may remove Your Key at any time. See the Privacy Policy.
5. Your content & license to us
5.1 Your Content. You retain ownership of the inputs you provide (text, prompts, uploads, branding) ("Input") and, as between you and us, of the resulting Output, subject to third-party model terms and §6. 5.2 License to operate. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create technical derivatives of your Input and Output solely to provide, secure, and improve the Service and as needed to comply with law. 5.3 Your responsibility. You represent that you have all rights necessary to your Input and that your Input and Output do not infringe, defame, or violate any law or third-party right. 5.4 Publicly shared Output. If you publish or share Output (e.g., public video links, the learn catalog), you grant viewers the access inherent in that sharing.
6. Our intellectual property & prohibited uses (IMPORTANT)
6.1 Our IP. The Service — including its software, models configuration, prompts, system instructions, agents, skills, templates, design systems, pipelines, and underlying know-how — is owned by 4K Labs and protected by intellectual-property and trade-secret law. These Terms grant you a limited, revocable, non-transferable license to use the Service; no other rights are granted. 6.2 You will NOT, and will not permit others to: (a) reverse engineer, decompile, or attempt to discover or extract the Service's source, prompts, system instructions, agent/skill definitions, model weights, or other underlying components; (b) probe, manipulate, or use the Service (including via chat or "jailbreak" inputs) to elicit, reproduce, or exfiltrate our prompts, instructions, or confidential operational details; (c) use the Service or any Output to train, fine-tune, or develop a competing AI model, dataset, or product, or to build a substantially similar service; (d) scrape, harvest, or use automated means to access the Service except through interfaces we expressly provide, or exceed documented rate limits; (e) resell, sublicense, time-share, or provide the Service to third parties except as expressly permitted; (f) remove proprietary notices, or misrepresent the source of Output. 6.3 Our prompts and instructions are confidential trade secrets; any attempt to extract or disclose them is a material breach and may cause irreparable harm for which we may seek injunctive relief in addition to other remedies.
7. Acceptable use
You will not use the Service to create or distribute content that is illegal, infringing, deceptive, hateful, harassing, sexually exploitative, that impersonates others without authorization, that contains malware, or that violates the acceptable-use rules of any underlying AI provider. We may remove content and suspend accounts that violate this section.
8. Third-party services
The Service integrates third parties (e.g., Stripe, Google/Firebase, Anthropic, Google Cloud AI, stock-media providers). Your use of those features may be subject to their terms, and we are not responsible for third-party services.
9. Suspension & termination
9.1 You may stop using the Service and delete your account at any time. 9.2 We may suspend or terminate access if you breach these Terms, create risk or legal exposure, or fail to pay. We may also discontinue the Service with reasonable notice. 9.3 On termination, your license ends; sections that by their nature survive (e.g., §§3, 5.2, 6, 10–12, 14) survive. Unused credits are forfeited if we terminate your account for your breach of these Terms; otherwise, unused credits remain available to you until you close your account and are not redeemable for cash.
10. Disclaimers
THE SERVICE AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT OUTPUT WILL BE ACCURATE, RELIABLE, OR ERROR-FREE. YOU ASSUME ALL RISK FROM USE OF OUTPUT.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 4K LABS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR LOST PROFITS/DATA/GOODWILL. OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 6 MONTHS BEFORE THE CLAIM, OR (B) US$100.
12. Indemnification
You will defend, indemnify, and hold harmless 4K Labs from claims arising out of your Input, your Output, your use of the Service, or your breach of these Terms.
13. K-12 / institutional use
The consumer Service is intended for adults creating content. Use of INX / learn.4klabs.ai with students or minors is offered to institutions under a separate written agreement (including a data-processing addendum and applicable child-privacy terms). Do not use the consumer Service to collect data from children.
14. Changes, governing law & disputes
14.1 We may update these Terms; material changes will be notified and you will be asked to re-accept. Continued use after the effective date constitutes acceptance. 14.2 These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in Delaware, USA, and you consent to personal jurisdiction there.
